Terms of Service

These Terms of Service ("Terms") govern your access to and use of VersyNow, the audience engagement platform operated by VersyNow ("we", "us"). By creating an account or using the service, you agree to these Terms. If you use VersyNow on behalf of an organization, you confirm you have authority to bind that organization.

1. The service

VersyNow lets event organizers collect live audience questions, run polls and votes, capture participant information with consent, and analyze participation. The service is provided over the web; attendees join through a link or QR code without creating an account.

2. Accounts

You sign in with a Google account and are responsible for activity under your account. You must provide accurate information and keep access to your account secure. You must be at least 16 years old, or the age of digital consent in your jurisdiction, to create an account.

3. Plans, trials, and billing

New accounts start with a free trial (28 days or five launched sessions, whichever comes first) and then move to the Free plan automatically. Paid subscriptions are billed monthly through Stripe and renew until cancelled; cancellation is self-serve and takes effect at the end of the paid period, after which your account drops to the Free plan. One-time event purchases grant session credits that expire 60 days after payment if unused. Prices may change with at least 30 days' notice; changes never apply retroactively to an already-paid period. Except where required by law, payments are non-refundable.

4. Manual licences

Some plans are granted through activation codes under a separate agreement or negotiated contract. Where the terms of such a contract conflict with these Terms, the contract prevails. Fixed-term licences end on their stated date, after which the account moves to the Free plan.

5. Your content and your audience's data

You retain all rights to the content you and your audience submit — event details, questions, votes, and captured participant information. You grant us the licence needed to host, process, and display that content in order to operate the service. For participant personal data collected through your events, you are the data controller and we act as your processor: you are responsible for having a lawful basis to collect it and for honouring participants' rights over it.

6. Acceptable use

You may not use VersyNow to violate any law, infringe others' rights, distribute malware, harass, or send spam; attempt to probe or disrupt the service or circumvent plan limits and rate limits; or resell the service without our written agreement. Audience submissions are the responsibility of the organizer running the event, who moderates them with the tools provided.

7. Availability and changes to the service

We aim for high availability but the service is provided "as is" and "as available", without warranties of any kind to the extent permitted by law. We may add, change, or remove features; where a change materially reduces paid functionality we will give reasonable notice.

8. Suspension and termination

You may stop using the service and delete your account at any time. We may suspend or terminate accounts that breach these Terms, with notice where practicable. Cancellation or downgrade never deletes your data by itself: your account drops to the Free plan and your past events remain accessible.

9. Liability

To the maximum extent permitted by law, our total liability for any claim arising out of the service is limited to the amounts you paid us in the twelve months preceding the claim, and neither party is liable for indirect, incidental, or consequential damages. Nothing in these Terms limits liability that cannot be limited by law.

10. Indemnity

You will indemnify us against third-party claims arising from your content, your events, or your breach of these Terms, including claims from participants regarding data you collected through the service.

11. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify account holders by email or in-product notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

12. Governing law and contact

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, and disputes are subject to the courts of Montreal, Quebec, unless mandatory consumer law provides otherwise.
